These Terms and Policies govern the sale of products by Techno Pack Bahrain W.L.L. and the use of the Techno Pack Bahrain website and its content.
1. Conditions of Sale
These terms and conditions apply to and govern every contract between Techno Pack Bahrain W.L.L. (the Seller) and the customer (the Buyer), unless the Seller expressly agrees otherwise in writing. Any terms contained in a purchase order, order form, letter, acknowledgement, or other document issued by the Buyer will not apply where they conflict with these conditions unless accepted by the Seller in writing.
2. Prices
Prices are provided in good faith and are subject to market fluctuations and revision. The price payable by the Buyer will be the Seller’s price applicable on the date of dispatch unless otherwise agreed in writing.
Where an order is placed for a quantity lower than the quoted quantity, or where delivery is required in smaller instalments than specified in the quotation, the Seller may increase the price or issue a revised quotation.
Unless otherwise agreed or stated, prices include delivery. Prices may be adjusted where labour or material costs increase, subject to applicable notice and cancellation rights agreed with the Buyer. Artwork, printing, or other origination work may be charged separately where applicable.
3. Quotations
A quotation indicates the price at which the Seller may be willing to supply the products if a written order is placed within the period stated in the quotation. A quotation is not an offer to sell until the Seller accepts the Buyer’s order. Clerical or pricing errors are subject to correction.
4. Delivery
Unless otherwise agreed in writing, the Buyer must accept the products when notified that they are ready for delivery. If the Buyer fails to accept delivery at the agreed time, the Seller may treat the contract as ended, resell the products, invoice the products, and recover reasonable handling, storage, insurance, and related costs.
Where products are ordered for delivery by instalments, each instalment may be treated as a separate contract unless otherwise agreed in writing. Delay in one instalment does not entitle the Buyer to reject another instalment.
Any delivery date provided by the Seller is an estimate. The Seller will make reasonable efforts to meet the estimated date but is not responsible for delay caused by circumstances beyond its reasonable control.
5. Risk
The products are at the Buyer’s risk from the time of delivery, collection by the Buyer or the Buyer’s agent, or delivery to the location specified in the contract.
6. Materials and Substitution
The Seller may supply materials of equal or greater strength than the materials quoted, where reasonably necessary and where the substitution does not materially affect the agreed purpose of the products.
7. Claims for Shortage or Damage
Claims for short delivery, visible damage, or incorrect products must be notified to the Seller within three clear days of delivery. Where products have suffered wet damage, the delivery documents should be endorsed accordingly at the time of delivery.
8. Retention of Title
Products delivered to the Buyer remain the property of the Seller until all sums due from the Buyer to the Seller, whether for products or otherwise, have been paid in full. If the Buyer defaults in payment, the Seller may retain possession of or recover the products.
Payment by cheque is not treated as received until the cheque has been honoured and the funds have been credited to the Seller’s bank account.
Until title passes, the Buyer must keep the products identifiable as the Seller’s property and hold them in accordance with applicable law. The Buyer must not return, delay payment for, or otherwise dispose of the products except as permitted by the Seller or these conditions.
9. Payment
All sums due to the Seller must be paid according to the payment terms stated on the invoice. Where the purchase order does not specify payment terms, or where the purchase order conflicts with the invoice, the terms stated on the invoice will prevail.
Any dispute regarding the payment terms stated on an invoice must be raised in writing within two business days of receipt. Otherwise, the invoice payment terms will be treated as accepted.
A delay in payment to the Buyer by the Buyer’s own customer does not excuse or delay payment to the Seller. The Buyer remains responsible for payment according to the invoice.
If payment is overdue, the Seller may suspend delivery under any contract with the Buyer and may charge interest at a rate of five percent above the Central Bank of Bahrain’s minimum lending rate, subject to applicable law and the agreed payment terms.
10. Termination
The Seller may terminate a contract immediately if the Buyer becomes insolvent, enters into an arrangement with creditors, is wound up, has a receiver appointed, or commits a material breach of contract.
Either party may terminate a continuing arrangement on thirty days’ written notice, unless otherwise agreed. On termination, the Buyer must pay for products supplied and for materials allocated or committed to the contract before the termination date.
11. Consequential Loss
To the extent permitted by applicable law, the Seller is not liable for indirect, special, incidental, or consequential loss or damage arising from the sale, supply, delay, or use of the products.
12. Force Majeure
The Seller is not liable for failure or delay in performing its obligations where the failure or delay results from circumstances beyond its reasonable control.
13. Fitness for Purpose
Where products are required for a purpose other than their normal or usual purpose, the Buyer must provide the exact intended purpose in writing before the contract is made. No condition or warranty of fitness for that purpose will be implied unless expressly agreed in writing.
14. Product Size and Specifications
Unless specifically warranted in writing, all sizes, dimensions, gauges, capacities, and specifications stated in price lists, quotations, brochures, or product descriptions are approximate.
The Seller may supply quantities within a reasonable manufacturing or supply tolerance. Unless otherwise agreed in writing, the Seller may fulfil an order by delivering a quantity up to ten percent above or below the quantity specified, with the Buyer paying for the actual quantity delivered.
15. Availability of Products
A quotation does not guarantee that the quoted products will remain available. Product availability is subject to stock, supplier availability, and confirmation by the Seller.
16. Printed and Custom Work
Artwork, printing, and origination work remain the property of the Seller unless the Buyer has paid for the relevant work or ownership has otherwise been agreed in writing. The Seller is not responsible for errors in proofs that have been submitted to and approved by the Buyer.
17. Data Protection
The Seller may process and share business and customer information where reasonably necessary to provide products and services, manage accounts, process payments, conduct credit control, prevent fraud, protect its interests, and comply with legal obligations. Information may be shared with banks, finance providers, insurers, professional advisers, service providers, or credit reference agencies where permitted by applicable law.
The Seller may conduct appropriate business or credit checks. Further information about data processing and third-party disclosures may be requested from the Seller.
18. Governing Law
These Terms and Conditions and any agreement incorporating them are governed by the laws of the Kingdom of Bahrain. The courts of Bahrain will have jurisdiction, subject to any mandatory legal requirements.

19. Accessing the Website
The Techno Pack Bahrain website is made available free of charge. Access may be provided on a temporary basis and the Seller may suspend, withdraw, discontinue, or change any part of the website without notice.
The Buyer is responsible for making the arrangements necessary to access the website and for ensuring that anyone accessing it through the Buyer’s internet connection complies with these Terms and Policies.
20. Website Content and Changes
The Seller may update the website and change its content at any time. Product information, prices, availability, and other website content may not always be current. The Seller does not guarantee that the website will be free from errors or omissions.
21. Website Security
The Seller takes reasonable steps to maintain website security but does not guarantee that the website or linked websites will be free from viruses, defects, or other harmful components. Users are responsible for using suitable equipment and security measures.
22. Ownership of Content
Techno Pack Bahrain owns or has the right to use the content published through its official channels. This includes, but is not limited to:
Images
Videos
Written content
Product descriptions
Infographics
Icons and graphics
Diagrams and drawings
Buttons
Logos
Product catalogues
Brochures
23. Permission to Use Images
Businesses may request permission to use product images owned or supplied by Techno Pack Bahrain. Such use is subject to prior written approval and any conditions specified by Techno Pack Bahrain.
Permission may be granted to businesses that purchase or resell Techno Pack Bahrain products. Approval must be obtained before using any image for commercial, promotional, or online purposes.
24. Use of Other Content
Permission to use product images does not automatically grant permission to use other website or marketing content. Videos, written content, product descriptions, infographics, icons, graphics, diagrams, drawings, website buttons, logos, brochures, and catalogues may not be copied, reproduced, modified, distributed, or used externally without written permission.

26. Permitted Uses
Once written permission has been granted, approved images may be used for promoting or reselling Techno Pack Bahrain products, displaying products on an authorised business website, approved marketing materials, or presentations to customers and business clients.
27. Unauthorised Use
Unauthorised copying, reproduction, modification, distribution, or commercial use of Techno Pack Bahrain content is not permitted. Techno Pack Bahrain reserves the right to request removal of unauthorised content and may take further action where necessary.
